Huntington Bancshares buys Sky Financial

The Story
Huntington Bancshares announced it is acquiring one of its largest rivals, a move that makes it the third largest bank in Ohio, according to The Columbus (Ohio) Dispatch.

Columbus-based Huntington is buying Bowling Green, Ohio-based Sky Financial for a reported $3.6 billion cash and stock deal. The deal is expected to close in the third quarter of 2007.

Thomas Hoaglin, chief executive officer of Huntington, said the acquisition represents a strategic coup for his bank, which is trying to increase its market share. According to Hoaglin, the Midwest is the slowest-growing banking market in the country.

“(The region is) ripe for mergers, because you have more competitors chasing less business,” he told the Dispatch. “Consolidation needs to occur to balance supply and demand.”

Sky Financial has more than 330 retail and commercial banking locations in Ohio, Pennsylvania, Indiana, Michigan and West Virginia.

Huntington has over 380 banking centers in Indiana, Kentucky, Michigan, Ohio and West Virginia. The company also has sales offices in select states around the country.

The Research
After the merger, Sky bank locations will be re-branded as Huntington banks.

“Retaining Sky Financial Group’s customers and local management are key objectives,” Hoaglin said in a statement. “A hallmark of Sky has been their success in developing a strong sales culture, and we expect to leverage this expertise.”

To inform consumers of the change, Huntington and Sky announced plans for an “extensive communication outreach program.”

According to The List database, Columbus, Ohio-based Ten / United is Huntington’s agency of record, an account held since 1998. Maumee, Ohio-based Hart Associates is Sky Financial’s AOR.

According to Nielsen Monitor-Plus, Huntington spent an estimated $5.4 million on media in 2005. About $3.1 million was spent on local newspaper ads. The company devoted about $1.1 million on spot television placement and $900,000 on outdoor placement.

Sky Financial spent an estimated $300,000 on media, nearly all of which spent on local newspaper advertising. The company also spent about $2,000 on outdoor advertising.

The Direction
Huntington has been with its agency for quite some time, and the company may be ready to hear from outsiders for a fresh perspective on what its brand stands for. Agencies with re-branding experience should be able to make a particularly strong pitch for new business.

With the acquisition, Huntington is entering new markets in Pennsylvania which should present a good opportunity for regional firms to get their foot in the door for local project work.
